Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and VisionLink Tech Solutions, LLC ("VisionLink," "we," "us," or "our") governing your access to and use of our website and services. Intellectual Property

All content, features, and functionality of our website, including but not limited to text, graphics, logos, and software, are owned by VisionLink Tech Solutions and are protected by copyright, trademark, and other intellectual property laws.

Unless otherwise agreed in a separate service agreement, any custom work created by VisionLink for a client shall be owned by the client upon full payment for such work. VisionLink retains the right to reuse general methodologies, techniques, and knowledge gained during engagements.

Confidentiality

We understand that you may share confidential information with us during the course of our engagement. We agree to maintain the confidentiality of such information and not disclose it to third parties without your consent, except as required by law or as necessary to provide our services.

Payment Terms

Payment terms for our services will be outlined in individual service agreements or statements of work. Unless otherwise specified, invoices are due within 30 days of receipt. Late payments may be subject to interest charges and may result in suspension of services.

Limitation of Liability

To the maximum extent permitted by law, VisionLink Tech Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services.

Our total liability for any claims arising under these Terms shall not exceed the amount paid by you for the services giving rise to the claim during the twelve (12) months preceding the claim.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Indemnification

You agree to indemnify, defend, and hold harmless VisionLink Tech Solutions and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of our services, your violation of these Terms, or your violation of any rights of a third party.

Termination

Either party may terminate services as specified in the applicable service agreement. We reserve the right to terminate or suspend your access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts located in Orange County, Florida.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and VisionLink Tech Solutions regarding your use of our services and supersede all prior agreements and understandings.
